Happiest Minds to Acquire PureSoftware for Rs 779 Crore
Happiest Minds, a digital transformation and IT solutions provider, announced on April 25 that it will acquire PureSoftware Technologies Private Limited for up to Rs 779 crore. This acquisition, achieved through a share purchase agreement, will give Happiest Minds 100% equity interest in PureSoftware, transforming it into a wholly-owned subsidiary.
PureSoftware, a company with a paid-up capital of Rs 3.23 crore and a turnover of Rs 351 crore for the fiscal year 2024, will be purchased with an initial cash payment of Rs 635 crore. An additional deferred payment of up to Rs 144 crore will be made by the end of fiscal year 2025, contingent upon reaching specific performance targets. This strategic acquisition is expected to bolster Happiest Minds' expertise in the Banking, Financial Services, Insurance (BFSI), and Healthcare and Life Sciences industries, while also expanding its portfolio of esteemed clients.
The acquisition is set to enhance Happiest Minds' global presence, providing a stronger foothold in the US, UK, and India, and expanding its near-shore presence to Mexico. Additionally, it will gain offices in Singapore, Malaysia, and Africa.
