Capgemini to Acquire WNS for $ 3.3 Billion

imageFrench technology giant Capgemini has reached an agreement to acquire business process management (BPM) technology firm WNS for $3.3 billion (Rs 28,280 crore) in cash. The global consulting and technology organization is proposing $76.5 for each WNS share, which represents a 17 percent premium over the stock's closing price on July 3 in New York. This price reflects a 27 percent premium compared to the 30-day average.

According to Capgemini, the acquisition will provide immediate benefits to the group's revenue growth and operating margins, and is expected to increase its normalized earnings per share by 4 percent in 2026 and by 7 percent in 2027 following synergies.

Capgemini anticipates generating between 100 million and 140 million euros ($117.8-164.9 million) in revenue synergies and projects an annual pretax run rate for cost and operating model synergies between 50 million and 70 million euros by the conclusion of 2027.

The transaction has received approval from the boards of both companies and is expected to finalize by the end of the year, pending necessary approvals.

“Capgemini’s acquisition of WNS will provide the group with the scale and vertical sector expertise to capture that rapidly emerging strategic opportunity created by the paradigm shift from traditional (business process services) to Agentic AI-powered Intelligent Operations,” Capgemini chief executive Aiman Ezzat says.

WNS provides services including business process outsourcing and data analytics. For fiscal 2025, it reported $1.27 billion in revenue, with an 18.7 percent operating margin. Its revenue has grown by around 9% at constant currency on average over the last three fiscal years.
