RK Swamy Subsidiaries Approve Merger to Streamline Analytics

RK Swamy Ltd has disclosed that the boards of its subsidiaries Hansa Customer Equity Private Limited (Hansa Cequity) and Dsquare Solutions Private Limited have sanctioned a merger scheme whereby Dsquare will combine with Hansa Cequity.

As per a stock exchange disclosure, the boards of both companies sanctioned the proposal during individual meetings conducted on August 10.

The plan is still dependent on legislative and regulatory authorizations, with April 1, 2026, set as the designated date.

The suggested merger entails Dsquare Solutions, a company specializing in customer and marketing analytics services, merging into its parent organization Hansa Customer Equity, which offers data analytics, digital marketing consultancy, and customer relationship management solutions.

The RK Swamy group structure includes both companies. Dsquare is a fully owned subsidiary of Hansa Customer Equity, which in turn is a fully owned significant subsidiary of RK Swamy Ltd.

As of March 31, 2026, Dsquare announced a turnover of Rs.203.98 lakh and a net worth of Rs.745.77 lakh, whereas Hansa Customer Equity recorded a turnover of Rs.9,852.44 lakh and a net worth of Rs.5,829.52 lakh.

RK Swamy stated that the reason for the merger is to attain efficient control, maximize resource utilization, achieve economies of scale, and lessen legal and regulatory compliance obligations. The consolidation is anticipated to streamline the ownership framework and boost stakeholder value through operational synergies.

The company mentioned that both organizations function in similar sectors centered on customer relationship management, data analysis, and marketing solutions.

 

Hansa Customer Equity also provides services such as market mix modeling, campaign oversight, loyalty program administration, segmentation, and direct marketing solutions.

As Dsquare is a fully owned subsidiary of Hansa Customer Equity, the merger will not require any compensation. The shares owned by Hansa Customer Equity and its nominees in Dsquare will be canceled once the scheme takes effect.

RK Swamy explained that the transaction is considered a related-party transaction but is exempt from SEBI regulations as it occurs between the company's wholly owned subsidiaries.

The entity mentioned that RK Swamy's shareholding pattern will remain unchanged, since the company is not directly involved in the amalgamation.
